PAPA MURPHY’S BIG GAME 2025 SWEEPSTAKES (“Sweepstakes”)
OFFICIAL RULES (“Official Rules”)

1. ELIGIBILITY: The Sweepstakes is open only to individuals who are legal residents and physically located in the United States (excluding residents of Florida, New York, or Rhode Island) or the District of Columbia, and who are at least eighteen (18) years of age or older as of time/date of entry, who have access to the internet and a valid email address, and, if entering via Instagram, have or open an account on Instagram. Employees, owners, officers, directors, representatives, and agents of Papa Murphy’s International LLC (“Papa Murphy’s” or “Sponsor”), licensees and/or franchisees of Papa Murphy’s, The Marketing Arm Inc., Southern Made Services, LLC (“Administrator”) and their respective parent companies, affiliates, subsidiaries, advertising, contest, fulfillment and marketing agencies (collectively, the “Sweepstakes Parties”), and the immediate family members and those living in the same household of such individuals (whether legally related or not) are not eligible to participate in the Sweepstakes or win a Prize (as defined in Section 5 below). For purposes of this Sweepstakes, “immediate family members” are defined as spouse, partner, parents, legal guardians, in-laws, grandparents, siblings, children, and grandchildren, and “those living in the same household” shall mean people who share the same residence at least three (3) months a year, whether legally related or not. Void where prohibited by law, rule or regulation. Throughout these Official Rules, an eligible individual who enters the Sweepstakes may be referred to as “Entrant” or “you.” By entering or otherwise participating in the Sweepstakes, you unconditionally accept and agree to comply with and abide by these Official Rules and the decisions of Sponsor and Administrator, including, but not limited to, the interpretation of these Official Rules and their exercise of discretion, which will be final, binding, and non-appealable in all respects. You may be required to verify that you meet eligibility requirements as outlined herein.
2. TIMING: The Sweepstakes begins on or about 12:00 p.m. (noon) Central Time (“CT”) on December 18, 2024, and ends at 11:59 p.m. CT on February 2, 2025 (the “Sweepstakes Period”). The Sweepstakes will be broken out into six (6) separate entry periods (each an “Entry Period”).

3. HOW TO PARTICIPATE: During each Entry Period, you may receive one (1) entry into this Sweepstakes by following (or being an existing follower of) Papa Murphy’s official Instagram page (@papamurphys), and liking, and commenting on Papa Murphy’s Instagram post (“Post”) promoting this Sweepstakes for the respective Entry Period (each an “Entry” and collectively, “Entries”). You must specifically comment on the respective Post as provided below. You must follow, like, and comment to receive an Entry. You can comment more than one time on each Post; however, doing so will not increase your odds of winning. To create a free Instagram account, visit Instagram.com or download the Instagram application from your mobile device’s app store. By submitting your information and creating an Instagram Account, you will be required to agree to the Instagram terms of service and privacy policy (available at https://help.instagram.com/581066165581870/; https://privacycenter.instagram.com/policy). You must have a public profile on Instagram to be contacted by Sponsor if you are selected as a potential winner. You may also enter as described in the Alternative Means of Entry Section below.
   • Entry Period 1: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on December 26, 2024, and “like” the Post and comment with the 🍕 emoji at any time during Entry Period 1.
   • Entry Period 2: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on January 2, 2025, and “like” the Post and comment with the hashtags #TeamHotPizza and #Sweepstakes at any time during Entry Period 2.
   • Entry Period 3: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on January 9, 2025, and “like” the Post, and comment with the ❤️🔥🍕emojis at any time during Entry Period 3.
   • Entry Period 4: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on January 16, 2025, “like” the Post, and comment in the comments section at any time during Entry Period 4.
   • Entry Period 5: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on January 23, 2025, “like” the Post, and comment in the comments section at any time during Entry Period 5.
   • Entry Period 6: To receive one (1) Entry: follow @papamurphys, watch for Sponsor’s Post which will be posted on January 30, 2025, “like” the Post, and comment with the 🍕emoji at any time during Entry Period 6.
   Alternative Means of Entry: To receive one (1) entry without following Papa Murphy’s Instagram page or liking or commenting on Papa Murphy’s Instagram Post(s), during an Entry Period, email [email protected] with the email subject “Papa Murphy’s Big Game 2025 Sweepstakes Entry,” and provide your full name, email address, complete mailing address, and daytime and evening telephone numbers (area code included). You may receive up to one (1) Entry into the Sweepstakes per Entry Period and will only receive one (1) Entry per Entry Period. For example, if you send an email with the foregoing information during Entry Period 1, you will only receive one (1) Entry for Entry Period 1. To receive the maximum six (6) Entries, you must send six separate emails, one during each Entry Period.

   Winners will be selected via random drawing as detailed below. Entries will not be judged. There is a limit of one Entry per Entry Period and six (6) total Entries throughout the Sweepstakes Period regardless of method of entry.

   All Entries must be received during the Sweepstakes Period. By submitting an Entry, Entrant agrees that his/her Entry conforms to the “Entry Guidelines” Below.

   Entry Guidelines:

   All Entries shall be deemed to be submitted by the authorized account holder of the Instagram or email account used to submit an Entry into the Sweepstakes. “Authorized Account Holder” is the natural person who is assigned as the owner and registrant of such Instagram or email account by Instagram or the email account provider, as applicable. You may only participate in the Sweepstakes using an Instagram or email account for which you are the Authorized Account Holder. By submitting a comment on a Post to enter the Sweepstakes, you represent and warrant that you are the Authorized Account Holder of the Instagram account used to submit the comment. If a dispute arises regarding who submitted an Entry, either on Instagram or via email, the Entry will be deemed to be submitted by the Authorized Account Holder of the account used at time of submission or Sponsor may choose to disqualify the Entry in its sole discretion.

   Any posts on an Entrant’s personal Instagram pages will not be counted as an Entry. Use of multiple Instagram accounts or the manipulation of an Entrant’s contact information for the purpose of obtaining more than the allowed number of Entries is prohibited and such persons will be disqualified, and all their Entries shall be deemed invalid.

   Multiple Entrants may not share the same Instagram account. A potential winner may be requested to provide Sponsor with proof that he/she is the Authorized Account Holder of the Instagram or email account associated with the winning Entry and/or an eligible Entrant.

   Data rates may apply if entering with a mobile phone or other Web-enabled device using your wireless service provider’s network. Check with your wireless service provider for details on these and any other applicable charges. Entrants are solely responsible for any such wireless charges.

   Entrants using any other device or artifice to enter multiple times above the stated limit or as multiple Entrants will be disqualified. Entries generated by script, macro, robotic, programmed, or any other automated means are prohibited and will be disqualified. Any incomplete or misdirected requests will be considered ineligible. Proof of submission is not proof of receipt by Sponsor. By participating, Entrants agree to abide by and be bound by these Official Rules and the Sponsor’s decisions. Entries are void if not obtained or submitted in strict accordance with these Official Rules and Sponsor’s directions.

   As determined by the Sponsor, in its sole discretion, Entries must meet the following guidelines: (a) Must comply with these Official Rules; (b) Cannot be sexually explicit or suggestive, violent, or derogatory of any ethnic, racial, gender, religious, political, professional or age group, profane or pornographic, or contain nudity; (c) Cannot promote alcohol, marijuana, illegal drugs, tobacco, e-cigarettes, firearms/weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any particular political agenda or message; (d) Cannot be obscene or offensive, endorse any form of hate or hate group; (e) Cannot promote terrorist acts such as providing instructions on how to assemble bombs, grenades and other such weapons or provide instructional information about illegal activities; (f) Cannot defame, misrepresent or contain disparaging or slanderous remarks about Sponsor, its customers or its products, or other people, products or companies; (g) Cannot contain trademarks, logos or trade dress owned by others (except Sponsor’s trademarks, logos or trade dress), or advertise or promote any brand or product of any kind (except Sponsor’s products), without permission, or contain any personal identification, such as license plate numbers, personal names, email addresses or street addresses; (h) Cannot contain copyrighted materials owned by others (including photographs, sculptures, paintings and other works of art, stills, or images published on or in television, movies, the Internet or other media, except such materials owned by Sponsor) without permission; (i) Cannot contain background artwork, unless it is an original work of the Entrant; (j) Cannot contain materials embodying the names, likenesses, photographs, or other indicia identifying any person, living or dead, other than the Entrant, without permission; (k) Cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate; and (l) Cannot depict, and cannot itself, be in violation of any law.

   ENTRIES POSTED TO ANY OF SPONSOR’S WEB SITES OR SOCIAL MEDIA SITES (IF ANY) ARE NOT EDITED BY SPONSOR AND ARE THE VIEWS/OPINIONS OF THE INDIVIDUAL ENTRANT AND DO NOT REFLECT THE VIEWS OF SPONSOR IN ANY MANNER. Any waiver of any obligation hereunder by Sponsor does not constitute a general waiver of any obligation to Entrants. Sponsor reserves the right to waive the Sweepstakes entry requirements set forth herein in its reasonable discretion.

   BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT HIS/HER ENTRY MAY BE POSTED ACROSS ANY OR ALL OF SPONSOR’S DIGITAL AND SOCIAL ASSETS, AT SPONSOR’S DISCRETION. Submission of an Entry grants Sponsor and its agents the unlimited and irrevocable right to publish, use, adapt, edit, publicly perform and/or modify such Entry in any way, in any and all media, including for use in advertising and marketing, without limitation, and without notice or consideration to the Entrant.

   This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram or its parents or affiliates.

4. SWEEPSTAKES DRAWINGS (“DRAWINGS”) AND ODDS OF WINNING: There will be a total of six (6) drawings during the Sweepstakes Period, with one (1) drawing for each Entry Period as detailed below. Drawings will be conducted by the Administrator, from all eligible Entries received during the Entry Period. All non-winning Sweepstakes Entries will roll over to the subsequent Entry Periods.

   Odds of winning a Prize (as defined in Section 6 below) depend on the number of eligible Entries received during a given Entry Period. Non-winning Entries will carry over to subsequent Entry Period drawings, decreasing the odds of winning. Winner(s) (“Winner(s)”) will be notified via Instagram direct message or email. The Prize drawings will occur according to the following schedule of drawing dates. The decisions of Sponsor and Sponsor representatives shall be final and binding on all matters relating to the Sweepstakes.

5. PRIZES (the “Prize(s)”) AND APPROXIMATE RETAIL VALUE (“ARV”): Seventy-Seven (77) Entrants (each a “Winner”), chosen at random, will be awarded a Prize according to the following schedule:

6. PRIZE TERMS AND CONDITIONS: Prizes consist only of the elements expressly set forth above; no other elements are included in the Prize and any such expenses in connection with the receipt or use of the Prize are the sole responsibility of each Winner. Winners are responsible for all applicable federal, state, local, sales, and income taxes, and any costs, expense(s), or fees whatsoever in connection with the Prize not specifically provided herein. In the event that, for reasons beyond their control and not related to the Winner, the Sponsor is unable to award any Prize as described in these Official Rules (including if the designated Prize should become unavailable for any reason), the Sponsor may substitute the Prize with another Prize of similar nature and equal or greater value at its sole discretion. Prize is awarded “AS IS” and without warranty of any kind, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). The Prize is non-assignable and non-transferable and is not redeemable for cash and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Any difference between the ARV of any Prize stated and the actual value of the Prize will not be awarded. If a selected Winner is unable to accept a Prize in its entirety for any reason, the Prize (or that portion of the Prize) may be forfeited. All Entries and potential Winners are subject to verification by the Sponsor and the Administrator whose decisions are final and binding. Winners must claim their Prize as provided for in Section 7 below. No compensation will be paid in lieu of a Prize or in the event that the Prize has been forfeited for any reason state in these Official Rules. Sweepstakes Parties shall not be held responsible for any delays in awarding any Prize for any reason. By participating in this Sweepstakes or submitting an Entry, each Entrant agrees: (i) to be bound by these Official Rules, including all entry requirements, (ii) to allow Sponsor to send Sweepstakes specific emails, and (iii) to release, indemnify, and hold the Sponsor, Sweepstakes Parties, Instagram, their respective parents, subsidiaries, affiliates, successors, predecessors, and each of their respective agents and agencies, and their respective officers, directors, employees and agents, harmless from and against any and all claims, injuries, damages, losses and liability that may occur, directly or indirectly, in whole or in part, from the participation in the Sweepstakes or from the receipt or use of any Prize or activity related to the receipt or use of any Prize.

   Subject to change, Prizes will be mailed to the mailing address (no P.O. Boxes). Shipping is included. The Sweepstakes Parties are not responsible for and will not replace any lost, mutilated, or stolen Prize or any Prize that is undeliverable or does not reach the Winner because of an incorrect or changed address. If the Winner does not accept or use the entire Prize, the unaccepted or unused part of the Prize will be forfeited, and the Sweepstakes Parties will have no further obligation with respect to the Prize. Prizes may take four (4) to six (6) weeks to arrive. Winner shall bear all risk of loss or damage to Prize after it has been delivered.

7. WINNER NOTIFICATION AND PRIZE CLAIM: Winners are subject to verification. The potential Winners will be notified via direct message or email. If entering via Instagram, the potential Winner must be a follower of Papa Murphy’s official Instagram page until at least sixty (60) days after the Sweepstakes Period for notification purposes. The Sweepstakes Parties are not responsible for and shall not be liable for false, incorrect, changed, incomplete, or illegible contact information or for electronic communications that are undeliverable as a result of any form of active or passive filtering of any kind, or insufficient space in Entrant’s email or any other account to receive messages or late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential Winner. Notification is deemed to have occurred immediately upon sending the email or direct message via Instagram. The potential Winners will have twenty-four (24) hours to respond via return direct message or email and supply their name, mailing address, email, phone number, and copy of valid photo ID with their acceptance of the Prize or the Prize may be forfeited and an alternate Winner may be chosen. Winners may need to complete additional verification documents to accept the Prize and failure to provide all required information, and a signature on such documents will result in forfeiture of the Winner’s right to claim a Prize and the Prize may be awarded to an alternate Prize Winner or forfeited at Sponsor’s discretion.

   All costs and expenses associated with a Prize acceptance and use not specifically provided herein are the sole responsibility of the Winners. Any Winner will be disqualified, and an alternate potential Winner may be chosen, or the Prize forfeited, if: (1) a Prize notification is returned as undeliverable; (2) if any required response (including email response) is not received in twenty-four (24) hours for any reason; (3) if any Prize claim forms or Winner verification documents are not signed and returned within the time period required by Sponsor; (4) if a potential Winner is found to be ineligible by civil or criminal or social media information review, as determined by Sponsor in its sole discretion; or (5) if any potential Winner is determined to be ineligible or otherwise not in compliance with these Official Rules. Sponsor and Sweepstakes Parties are not responsible for any change of mailing address, email address, and/or telephone number of Entrants. Sponsor is not required to make more than one attempt to notify any individual potential Winner; nor is Sponsor required to make more than one attempt to verify an alternative Winner if the first selected potential Winner is disqualified. If an insufficient number of qualified Entries are received, Prizes may not be awarded. Prizes that are unclaimed, unredeemed, or returned as undeliverable will not be awarded.

   Taxes: Winners are solely responsible for any applicable federal, state, and local taxes on the Prize and will be issued an IRS Form 1099 reporting the value of any Prize valued $600 or over. Winners are responsible for paying taxes on the full ARV of the Prize awarded to them.

8. GENERAL: Subject to applicable law, each Winner hereby expressly grants to the Sweepstakes Parties and their respective successors, assigns, sublicensees, and designees, the irrevocable right to use and publish his/her name, social handles, likeness (photographic or simulated), voice, biography, and place of residence for all purposes, including, without limitation, advertising, marketing, promotional and publicity purposes in connection with this Sweepstakes (“Advertising”), in any and all media now or hereafter devised, worldwide, in perpetuity, without any form of notice, permission, or any amount or kind of compensation, except for the awarding of the Sweepstakes Prize(s) to the Winner(s). All copyright, trademark or other intellectual property rights in such Advertising shall be owned by Sponsor and/or its licensors, and each Winner hereby disclaims and waives any claim of right to such Advertising. Such Advertising shall be solely under the control of Sponsor and/or its licensors, and each Winner hereby waives any claim of control over the Advertising content as well as any possible claims of misuse of such Winner’s name, likeness, or voice under contract, tort or any other theory of law. The Sweepstakes Parties do not assume any responsibility for any disruption in the Sweepstakes, including, but not limited to, the failure or interruption of any social media platform or any internet service provider. In no event will more Sweepstakes prizes be awarded than those listed in these Official Rules. All decisions as to these Official Rules and interpretations thereof are exclusively within the sole discretion of the Sweepstakes Parties and may be changed from time to time without notice. In the event Sponsor is prevented from continuing with the Sweepstakes by any event beyond its control, including, but not limited to, fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, communications or equipment failure, utility or service interruptions, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), interference with the Sweepstakes by any party, or any federal, state, local or government law, order, or regulation, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each, a “Force Majeure” event or occurrence), Sponsor shall have the right to modify, suspend or terminate the Sweepstakes or Sweepstakes Prize. Sponsor additionally reserves the right, in its sole and absolute discretion: (a) to modify, suspend or terminate the Sweepstakes should causes beyond Sponsor’s control corrupt or interfere with the administration, integrity, operation, security or proper play of the Sweepstakes ; or (b) to disqualify any Entrant found to be, or suspected of: (i) tampering with the entry process or the operation of the Sweepstakes; (ii) acting in violation of these Official Rules; or (iii) acting in an un-sportsmanlike manner.
9. CONDUCT: The Sweepstakes Parties are not responsible for the actions of Entrants in connection with the Sweepstakes, including, but not limited to, any attempts to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity, or proper conduct of the Sweepstakes. The Sweepstakes Parties reserve the right, at their sole discretion, to disqualify any individual found to be tampering with the participation process or the operation of the Sweepstakes, or to be acting in any manner deemed by the Sweepstakes Parties to be in violation of the Official Rules, or to be acting in any manner deemed by the Sweepstakes Parties to be unsportsmanlike or disruptive, or with intent to annoy, abuse, threaten or harass any other person and void all associated Entries and/or registrations. CAUTION: ANY ATTEMPT BY AN ENTRANT, YOU, OR ANY OTHER INDIVIDUAL TO DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, THE SWEEPSTAKES PARTIES RESERVE THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right, at its sole and absolute discretion, to disqualify (or terminate the award of a Prize to) any individual who is found to be, or suspected of, acting in violation of these Official Rules, or to be acting in an unsportsmanlike, obscene, immoral or disruptive manner, or with the intent to annoy, abuse, threaten or harass any other person.
10. WAIVERS AND DISCLAIMERS: The Sweepstakes Parties assume no responsibility or liability for: (a) lost, late, stolen, undelivered, inaccurate, incomplete, delayed, misdirected, damaged or garbled registrations, Entries, URLs, or emails; (b) any incorrect or inaccurate entry information, or for any faulty or failed electronic data transmissions; (c) any unauthorized access to, or theft, destruction or alteration of Entries or registrations at any point in the operation of this Sweepstakes; (d) any technical malfunction, failure, error, omission, interruption, deletion, defect, delay in operation or communications line failure, regardless of cause, with regard to any equipment, systems, networks, lines, cable, satellites, servers, computers or providers utilized in any aspect of the operation of the Sweepstakes; (e) inaccessibility or unavailability of the Internet or any websites or any combination thereof or for computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of Entries, social networking posts or comments, or registrations, the announcement or notification of the Prizes, or in any other Sweepstakes-related materials; or (f) any injury or damage to Entrants or to any other person’s computer which may be related to or resulting from any attempt to participate in the Sweepstakes. If, for any reason, the Sweepstakes (or any part thereof) is not capable of running as planned for reasons which may include, without limitation, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures, or any other causes which may corrupt or affect the administration, security, fairness, integrity or proper conduct of this Sweepstakes, then the Sweepstakes Parties reserve the right at their sole discretion to cancel, terminate, modify, or suspend the Sweepstakes in whole or in part.
11. RELEASES: All Entrants, as a condition of entry and participation in this Sweepstakes, agree to release, discharge, indemnify, and hold harmless the Sweepstakes Parties, Instagram, and each of their respective directors, officers, employees, agents, successors and assigns (collectively, the “Released Parties”) from and against any and all liability, claims, costs (including attorneys’ fees), losses, damages, fines, or actions of any kind whatsoever for injuries, damages, or losses to persons or property which may be sustained, in whole or in part, directly or indirectly, in connection with: (i) participation in any aspect of the Sweepstakes (including, but not limited to, travel to/from any Sweepstakes activity), (ii) the receipt, ownership, use, or misuse of the Sweepstakes Prize awarded, including any travel associated with any Sweepstakes Prize, (iii) the Released Parties’ violation of rights of publicity or privacy, claims of defamation or portrayal in a false light or based on any claim of infringement of intellectual property; (iv) Entrant’s registration material on any related website, or (iv) any typographical, human or other error in the printing, offering, selection, operation, or announcement of any Sweepstakes activity and/or Sweepstakes Prize.
12. GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor, or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Washington, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws. BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.
13. DISPUTE RESOLUTION: The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in the State of Washington, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury, and review is limited. The arbitrator’s decision and award are final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action, or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in the State of Washington. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in the State of Washington. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of Entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.
14. ENTRY INFORMATION AND SWEEPSTAKES COMMUNICATIONS: As a condition of entering the Sweepstakes, each Entrant gives consent for Sponsor to obtain and deliver his or her name, address, and other information to third parties for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations, and rules. Any information Entrant provides to Sponsor may be used to communicate with Entrant in relation to this Sweepstakes or on a Sweepstakes winner’s list. By participating in the Sweepstakes, Entrant agrees to all of the terms and conditions of the Sponsor’s Privacy Policy, which is available at https://www.papamurphys.com/privacy-policy/. In the event of any discrepancy between the Sponsor’s Privacy Policy and these Official Rules, these Official Rules shall control and govern.
15. MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on any website, social media platform or application and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved in Sponsor’s sole and absolute discretion.
16. WINNERS’ LIST REQUEST: For the name of the Winners send a self-addressed stamped envelope to: Papa Murphy’s “Big Game 2025 Winners, PO Box 90130, Nashville, TN 37209, no later than April 7, 2025.
